General Terms and Conditions

for contracts concluded between

General Provisions

1. Michal Uhrin - AELORA, with its registered office at Kriváň 177, 962 04 Kriváň, Company ID: 57 568 235, registered in the Trade Register of the District Office Detva, Trade Register No. 670-36833 (hereinafter referred to as the “Merchant”), is a sole trader whose principal business activity is the provision of computer services.

2. The Merchant has licensed software for editing photographs in digital form.

3. The Merchant provides digital services consisting of processing/editing image materials according to selected parameters (style, format, size) (hereinafter referred to as “Digital Services”). For the avoidance of doubt, the processing/editing of image materials is carried out by the Merchant, and the Consumer does not obtain direct access to the software functions.

4. The Merchant provides Digital Services for consideration. Additional information, including illustrative examples of software functions and sample results of editing, are available in section Detail of product .

5. The Consumer is a natural person or a legal entity interested in Digital Services. In the case of a legal entity, it is assumed that the interest in Digital Services has been expressed by its statutory representative or employee.

6. The purpose of these General Terms and Conditions (hereinafter referred to as the “GTC”) is to establish a legal framework for the relationship between the Merchant and the Consumer in order to ensure that the Consumer is informed of the mutually binding conditions for the provision of Digital Services.

7. These GTC and the conditions set out herein form an integral part of every contract (agreement) under which the Merchant undertakes to deliver a Digital Service to the Consumer and the Consumer undertakes to pay the price (hereinafter also referred to as the “Contract”).

Contract

1. The Consumer is entitled to order Digital Services from the service offer available on the Merchant’s website. The Merchant and the Consumer are bound by the service offer, including the price.

2. The Consumer places an order by completing the required information on the Merchant’s website. Submission of a complete order constitutes an act aimed at concluding the Contract.

3. The Contract is concluded upon timely acceptance (confirmation) of the order. The Merchant shall notify the Consumer of the acceptance of the order and simultaneously provide the Consumer with access credentials to the virtual space.

4. By concluding the Contract, the Merchant undertakes to deliver the Digital Service to the Consumer within the agreed time, scope, and quality. At the same time, the Merchant acquires the right to request payment of the price from the Consumer.

Delivery of Digital Performance

1. The Merchant shall deliver and make the Digital Service available without undue delay after the conclusion of the Contract, with which the Consumer expressly agrees. The Consumer acknowledges that by doing so, they lose the right to withdraw from the Contract without stating a reason, of which the Merchant expressly informs them.

2. The Digital Service shall be deemed delivered by making the service available in a virtual space and/or a physical space chosen by the Consumer for this purpose.

3. The Consumer uploads photographs into the virtual space, which they request to be created, edited, or processed, and simultaneously selects the method of such creation, editing, or processing.

4. The result in the form of digitally processed/edited photographs in the format PNG shall be sent by the Merchant from the virtual space to the Consumer’s physical space, specifically to the Consumer’s email address. The result can be viewed on Windows and macOS operating systems using standard free applications.

5. For the delivered processed/edited photographs, the Merchant grants the Consumer a license for use without territorial or time limitation.

Photographs

1. The agreed result of photograph processing is directly dependent on the quality of the photographs.

2. The agreed processing result can be achieved under the following photograph parameters:

   • minimum photograph resolution 1000 × 1000 pixels,
   • photographs without noise, sharp, in full quality, without filters or graphic modifications,
   • for facial editing, without glasses, head coverings, or objects covering the face.

3. The Consumer acknowledges that the Digital Service may be used exclusively for editing photographs:

   • for which the Consumer holds the necessary rights,
   • which do not infringe the rights of third parties,
   • which do not contain offensive, discriminatory, pornographic, or otherwise inappropriate content,
   • the content of which does not violate principles of good morals.

Price

1. The prices of Digital Services offered by the Merchant are stated in euros, including value added tax. The price list is publicly available on the Merchant’s website.

2. The Consumer is obliged to pay the agreed price for the Digital Services to the Merchant.

3. The Consumer is entitled to place an order for Digital Services only if the price is covered by monetary payment. This includes:

   • online payment by payment card,
   • payment by bank transfer,
   • payment via a third-party payment gateway.

Defects

1. Digital Services must comply with the agreed requirements and general requirements.

2. Digital Services comply with the agreed requirements if, in particular:

   • they correspond to the description, quantity, and quality specified in the Contract,
   • they possess the characteristics defined in the Contract.

3. Digital Services comply with general requirements if:

   • they are fit for the purposes for which Digital Services of the same type are normally used, taking into account in particular legal regulations,
   • they correspond to the sample of Digital Performance made available by the Merchant to the Consumer before the conclusion of the Contract.

4. Digital Services are defective if they do not comply with the agreed requirements and general requirements.

5. The Merchant is liable for any defect that exists at the time of delivery and that becomes apparent within two years from delivery.

Dispute Resolution and Withdrawal from the Contract

1. The Consumer has the right to submit a request for remedy to the Merchant if a dispute arises between the Consumer and the Merchant regarding the exercise of rights arising from liability for defects or if the Consumer believes that the Merchant has violated other consumer rights.

2. The Merchant shall inform the Consumer on a durable medium about the relevant alternative dispute resolution entities if the Merchant responds negatively to the request referred to in paragraph 1.

3. The Consumer has the right to submit a proposal for initiating alternative dispute resolution to the relevant entity if the Merchant has responded negatively to the request referred to in paragraph 1 or has not responded within 30 days from the date of its submission.

4. The Consumer does not have the right to withdraw from the Contract, notwithstanding that the Contract is concluded at a distance, due to the fact that:

   • the provision of the Digital Service has commenced, and
   • the Consumer has given explicit consent to the commencement of the provision of the Digital Service before the expiry of the withdrawal period and has declared that they have been duly informed that by giving such consent they lose the right to withdraw from the Contract once the provision begins, and the Merchant has provided the Consumer with confirmation pursuant to Section 17(12)(b) or Section 17(13)(b) of the Consumer Protection Act, if the Consumer is obliged to pay the price under the Contract.

Final Provisions

1. These General Terms and Conditions (hereinafter referred to as the “GTC”) form an integral part of every Contract concluded between the Merchant and the Consumer, the subject of which is the provision of a Digital Service.

2. Any deviating arrangements agreed in an individual Contract between the Merchant and the Consumer shall prevail over the provisions of these GTC.

3. Legal relations between the Merchant and the Consumer not expressly governed by these GTC or the Contract shall be governed by the applicable laws of the Slovak Republic.

4. If any provision of these GTC is or becomes invalid, ineffective, or unenforceable, this shall not affect the validity, effectiveness, or enforceability of the remaining provisions. The invalid or ineffective provision shall be replaced by a provision that is closest in meaning and purpose to the original provision.
