General Provisions

1. Michal Uhrin - AELORA, with its registered office at Kriváň 177, 962 04 Kriváň, Company ID: 57 568 235, registered in the Trade Register of the District Office Detva, Trade Register No. 670-36833 (hereinafter referred to as the “Merchant”), operates the Aelora Studio online store available at aelorastudio.sk.

2. The Merchant uses licensed software and other digital tools for processing and editing photographs in digital form.

3. Through Aelora Studio, the Merchant provides personalized digital services consisting of processing and editing image materials according to parameters selected by the Consumer, such as style, format and size (hereinafter referred to as “Digital Services”), and offers personalized physical products created on the basis of photographs and specifications provided by the Consumer, including printed and framed personalized portraits (hereinafter referred to as “Personalized Products”). For the avoidance of doubt, the processing and editing of image materials is carried out by the Merchant and the Consumer does not obtain direct access to the software functions.

4. The Merchant provides Digital Services and Personalized Products for consideration. Additional information, including product descriptions, available variants, dimensions, illustrative examples and sample results, is available on the relevant product pages of the Aelora Studio online store.

5. For the purposes of these GTC, the Consumer is a natural person who, in connection with a consumer contract, does not act within the scope of their business activity, employment or profession. Where a person purchases a product in connection with their business activity, the provisions of these GTC concerning consumer rights apply only to the extent required by applicable law.

6. The purpose of these General Terms and Conditions (hereinafter referred to as the “GTC”) is to establish the legal framework governing the relationship between the Merchant and the Consumer in connection with the provision of Digital Services and the sale and delivery of Personalized Products through Aelora Studio.

7. These GTC and the conditions set out herein form an integral part of every contract under which the Merchant undertakes to provide a Digital Service or create and deliver a Personalized Product to the Consumer and the Consumer undertakes to pay the agreed price (hereinafter also referred to as the “Contract”).

Contract

1. The Consumer is entitled to order Digital Services and Personalized Products from the offer available on the Merchant’s website at aelorastudio.sk. The characteristics, price, available variants and other relevant information concerning each product or service are specified on the relevant product page.

2. The Consumer places an order by selecting the relevant product or service, providing the required order and personalization information, uploading the required photographs where applicable, selecting available variants and completing the ordering process on the Merchant’s website. Before submitting the order, the Consumer has the opportunity to review and correct the entered information.

3. The Contract is concluded when the Merchant accepts the Consumer’s order and sends an order confirmation electronically to the Consumer. The order confirmation contains or provides access to the relevant information concerning the order.

4. By concluding the Contract, the Merchant undertakes to provide the ordered Digital Service or create and deliver the ordered Personalized Product within the agreed scope and in accordance with the characteristics specified in the Contract and on the relevant product page. The Consumer undertakes to pay the agreed price and provide the information and materials reasonably necessary for personalization and fulfilment of the order.

Production and Delivery

1. Production or processing of a personalized order may begin after the Contract has been concluded and the Merchant has received the information, photographs and other materials necessary to fulfil the order.

2. For Digital Services, the Consumer provides the photographs and selects the available method of creation, editing or processing. The resulting digitally processed or edited artwork is delivered electronically, in the format specified on the relevant product page or in the order, to the Consumer’s email address or through another electronic method made available by the Merchant.

3. For delivered digitally processed or edited artwork, the Merchant grants the Consumer a non-exclusive license for personal use without territorial or time limitation, unless otherwise stated in the relevant product description or separately agreed between the Merchant and the Consumer.

4. Personalized Products are created individually according to the Consumer’s order and may include the creation of personalized artwork from photographs supplied by the Consumer, printing of the artwork, framing and preparation for physical delivery, depending on the product and variant selected by the Consumer.

5. Personalized Products shall be delivered to the delivery address or other delivery destination specified by the Consumer using the delivery method available and selected during the ordering process. Information regarding the expected production and delivery time is provided on the website, product page, checkout or order confirmation, as applicable.

Photographs and Personalization

1. The quality and appearance of the personalized artwork depend directly on the quality, composition and characteristics of the photographs provided by the Consumer.

2. For best results, photographs provided by the Consumer should meet the following parameters:

   • a recommended minimum resolution of 1000 × 1000 pixels,
   • photographs should, where reasonably possible, be sharp, supplied in good quality and without excessive noise, filters or graphic modifications,
   • for portraits involving faces, the relevant facial features should be sufficiently visible and should not be unnecessarily obscured by objects.

3. The Consumer may provide for processing only photographs and other materials:

   • for which the Consumer holds the necessary rights or has the necessary authorization for their use,
   • which do not unlawfully infringe the rights of third parties, including intellectual property rights and personality rights,
   • which do not contain unlawful, offensive, discriminatory, pornographic or otherwise prohibited content,
   • the use and content of which are not contrary to applicable law or principles of good morals.

Price and Payment

1. The prices of Digital Services and Personalized Products are stated in euros. The final price and any applicable taxes are displayed to the Consumer in accordance with applicable law before the order is submitted. Any delivery charges not included in the product price are displayed separately before the Consumer submits the order.

2. The Consumer is obliged to pay the total price stated in the order for the ordered Digital Service or Personalized Product, including any applicable delivery charges and other charges disclosed before submission of the order.

3. The available payment methods are displayed during the ordering process and may include:

   • online payment by payment card,
   • payment by bank transfer, where offered,
   • payment via a third-party payment gateway or another payment method made available by the Merchant.

Conformity, Defects and Complaints

1. Digital Services and Personalized Products must comply with the requirements agreed in the Contract and with the requirements imposed by applicable law.

2. A Digital Service or Personalized Product complies with the agreed requirements if, in particular:

   • it corresponds to the description, type, quantity and quality specified in the Contract and on the relevant product page, taking into account the personalized nature of the product,
   • it possesses the characteristics and functionality agreed between the Merchant and the Consumer.

3. The Merchant is responsible for defects in Digital Services and Personalized Products to the extent and for the period provided by applicable law.

4. In relation to Personalized Products, a defect may include, in particular, damage to the product or frame, a material printing defect, delivery of an incorrect product or size, or personalization that materially differs from the personalization information correctly provided by the Consumer.

5. Reasonable artistic differences inherent in the creation of personalized artwork, minor colour differences caused by display or printing technology, or differences resulting directly from the quality or characteristics of the photograph supplied by the Consumer do not constitute a defect where the product otherwise complies with the Contract and applicable law.

Dispute Resolution and Withdrawal from the Contract

1. The Consumer has the right to submit a request for remedy to the Merchant if a dispute arises between the Consumer and the Merchant regarding the exercise of rights arising from liability for defects or if the Consumer believes that the Merchant has violated other consumer rights.

2. If the Merchant responds negatively to the Consumer’s request for remedy, the Merchant shall inform the Consumer, on a durable medium where required by applicable law, about the relevant alternative dispute resolution entities.

3. The Consumer has the right to submit a proposal for initiating alternative dispute resolution to the relevant entity if the Merchant has responded negatively to the request for remedy or has not responded within 30 days from the date on which the request was sent, subject to the conditions laid down by applicable law.

4. The statutory right to withdraw from a distance contract without giving a reason is subject to the exceptions provided by applicable consumer protection law.

Final Provisions

1. These General Terms and Conditions form an integral part of every Contract concluded between the Merchant and the Consumer through Aelora Studio for the provision of a Digital Service or the creation and delivery of a Personalized Product.

2. Any deviating arrangements expressly agreed in an individual Contract between the Merchant and the Consumer shall prevail over the provisions of these GTC to the extent permitted by applicable law.

3. Legal relations between the Merchant and the Consumer not expressly governed by these GTC or the Contract shall be governed by the applicable laws of the Slovak Republic. Where mandatory consumer protection rules applicable to the Consumer provide otherwise, such mandatory rules remain unaffected.

4. If any provision of these GTC is or becomes invalid, ineffective or unenforceable, this shall not affect the validity, effectiveness or enforceability of the remaining provisions. The affected provision shall be interpreted or replaced to the extent permitted by law in a manner that most closely reflects its lawful purpose.
